The 7 steps
Each step builds on the previous — work through them in order.
Legal focus
- Jurisdiction: EU (MiCA/MiFID), UK, AIFC, Cayman, Mauritius, El Salvador, UAE, USA — different cost, timing, and investor access
- Instrument type: Equity-like, profit-share, revenue-share, or debt-like. Most real estate = security token.
- Offering regime: Private placement, qualified investors only, de-minimis, or full prospectus route
- Licensing: Issuer vs. platform vs. venue; custody in-house or outsourced
- Tax: Withholding on distributions, VAT on fees, SPV location vs. investor residence
Investor & market decisions
- Target investors: professional/accredited only, or retail where rules allow
- Ticket sizes, minimum raise, valuation approach
- Distribution geography and transfer restrictions
- Independent appraisal required in most jurisdictions
Step 1 checklist
💡 Tip: Save all artifacts (resolutions, term sheets, appraisals) to a structured data room from day one — platforms will require these for due diligence.
SPV setup
- Incorporate a single-purpose vehicle (Ltd, LLC, SPC, or equivalent)
- Board composition, directors' duties, UBO registration, substance requirements
- Shareholder agreement establishing token-holder rights
- Bank or EMI account for rental income and investor proceeds
Property transfer
- Property title transferred into SPV — or option/long-lease if direct transfer is tax-inefficient
- Independent valuation by RICS-qualified or equivalent appraiser
- Title insurance and property management agreement
- Insurance: building, liability, loss of rent
Step 2 checklist
Core documents
- Prospectus / OM: Risk factors, use of proceeds, property details, valuation, fees
- Token Terms: Investor rights, distributions, transfer restrictions, lock-ups, voting
- Subscription Agreement: Eligibility, KYC consent, settlement mechanics
- Policies: AML/CTF, Sanctions, KYC/KYB, Data Protection
- Service agreements: Custody, registrar, property manager, administrator
Marketing & disclosures
- Jurisdiction-specific legends: "no offer where unlawful"
- "For professional investors only" where applicable
- Fair and balanced performance claims — avoid projections without disclaimers
- Website and marketing material review by legal counsel
Step 3 checklist
Standards & controls
- ERC-3643 (T-REX) or ERC-1400 — transfer restrictions at smart contract level
- Off-chain KYC → on-chain allowlist with transfer hooks
- Corporate actions: mint/burn for distributions, voting, consent solicitations
- Oracles for FX rates and valuation checkpoints (optional)
Security & custody
- Key management: HSM, MPC wallets, multi-sig, role separation, audit trails
- Custody provider integration: cold/warm storage, segregation, insurance
- Investor registry: onchain or dual onchain/offchain for reporting
- 3rd-party smart contract audit — mandatory for most platforms
Step 4 checklist
KYC/KYB & eligibility
- Accredited/qualified investor checks, PEP/sanctions screening, source-of-funds
- E-signature for Subscription Agreement; automated document collection
- Corporate investors: UBO, registry extract, board resolution
Payments & bookbuilding
- Bank wires, stablecoins, fiat on-ramp; FX handling and reconciliation
- Escrow release on conditions met; refund policy if offer fails
- Minimum/maximum allocations, pricing, oversubscription rules
- Investor confirmations, token delivery, registry update on settlement
Step 5 checklist
Venue options
- ATS: US-regulated, e.g. tZERO, INX — for US accredited investors
- MTF: EU-regulated — for MiCA/MiFID compliant secondary market
- Licensed exchange: ADDX (Singapore), MERJ (Seychelles), Fusang (Labuan)
- OTC: Simple but limited; requires manual transfer agent involvement
Listing requirements
- Platform due diligence: data room, legal opinion, audit report
- Market-making or liquidity provision arrangements
- Ongoing disclosures: NAV updates, material events, financial reports
- Token standards must be compatible with venue infrastructure
Step 6 checklist
💡 Tip: Many platforms require 6–12 months of operating history before listing. Plan secondary trading as Phase 2, not Day 1.
Compliance operations
- Continuous AML monitoring, suspicious activity reporting, sanctions updates
- Registers: token holders, corporate actions, meeting minutes, NAV/valuation
- Regulatory and tax filings; annual audit; FATCA/CRS reporting
Property & finance
- Property manager oversight, cash-flow controls, CAPEX planning
- Distribution policy; reserve accounts; quarterly/annual reporting
- Rental income collection → conversion → distribution to token holders
