  • Instrument type: Equity-like, profit-share, revenue-share, or debt-like. Most real estate = security token.
  • Offering regime: Private placement, qualified investors only, de-minimis, or full prospectus route
  • Licensing: Issuer vs. platform vs. venue; custody in-house or outsourced
  • Tax: Withholding on distributions, VAT on fees, SPV location vs. investor residence

Investor & market decisions

  • Target investors: professional/accredited only, or retail where rules allow
  • Ticket sizes, minimum raise, valuation approach
  • Distribution geography and transfer restrictions

Structure the SPV & Property Transfer
Goal: Create a clean legal vehicle that owns the property and issues tokens.

SPV setup

  • Incorporate a single-purpose vehicle (Ltd, LLC, SPC, or equivalent)
  • Board composition, directors' duties, UBO registration, substance requirements
  • Shareholder agreement establishing token-holder rights
  • Bank or EMI account for rental income and investor proceeds

Property transfer

  • Property title transferred into SPV — or option/long-lease if direct transfer is tax-inefficient
